The “Services” should be understood as services made available by Safran Helicopter Engines and hosted on the Site such as E-Spares, Health Monitoring, Support contacts, Requests (AOG, Noria, Warranty, S/E Repair) E Log Book, Tech Pub, Quality References, Validated Laboratories, Prices Catalog, Dashboard, WEBIETP, SB –TU indices (interactive) LOAP, Logbook Viewer, Online SBH, Accident Reports, Academy, Online Request, TSA, Academy, Tech Pub Updates. This list may evolve.

IMPORTANT:
All Technical Documentation issued in electronic format, including the Documentation published on your Customer Portal website, can now officially be used in exactly the same way as the equivalent paper versions.

In case of printing of any screen displayed document, you must check that it is faithful to your Customer Portal file content (incomplete printing risk according to software or hardware configurations) and ensure that there is no discrepancy between the screen displayed data and the printed data upon paper.

GENERAL TERMS OF SERVICES OF THE WEBSITE AND THE SAFRAN HELICOPTER ENGINES SERVICES
Please read these GTS carefully. By using the Services described herein, you agree to these general and specific terms and conditions applicable to such Services. If you do not accept the above-mentioned terms, do not use the Site.

Preamble

Safran Helicopter Engines, through the Site provides users, i.e. any person connecting to the Site (“User(s)”) with access to a collection of on-line Services. Safran Helicopter Engines provides these Services, subject to the following Article 14, which may be updated by Safran Helicopter Engines from time to time.

1. Subscription to the Services

In order to use the Service, the User must benefit from an access to the Internet through necessary equipment to make such connection including a computer and modem or other access device.

In consideration of use of the Service, the User agrees to: (a) provide true, accurate, current and complete information as prompted by the registration form of the Services and maintain and promptly update such information to keep it true, accurate, current and complete. If the User provides any information that is untrue, inaccurate, not current or incomplete, or if Safran Helicopter Engines has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Safran Helicopter Engines has the right to suspend or terminate the relevant account and refuse any and all current or future use of the Site or any portion thereof.

To become a User, you must be a Safran Helicopter Engines' approved operator. Any Safran Helicopter Engines' operator must have a subscription to the technical documentation for the engine he operates. Any subscription request will therefore be subject to an internal investigation. Such investigation may therefore delay the sending of a personal access account.

2. Member account, password & security

The User will receive a login and a password after Safran Helicopter Engines' acceptance of the requested subscription. The User is responsible for maintaining the confidentiality of the login and password, and is fully responsible for all activities that occur under his password or account.

The User agrees to immediately notify Safran Helicopter Engines of any unauthorized use of his password or account or any other breach of security. The User must ensure to exit from its account at the end of each session. Safran Helicopter Engines cannot and will not be liable for any loss or damage arising from his failure to comply with security guidelines, including but not limited to the above terms.

3. Specific prohibited uses

Safran Helicopter Engines shall not be liable in any way for any information, data, text, software, sound, photographs, graphics, video, messages or other materials used on the Site or in the Services ("Content"), including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, e-mailed or otherwise transmitted via the Site.

4. Proprietary rights of the User

Safran Helicopter Engines does not own the Content submitted by the User, unless indicated otherwise before the submission.

The User grants Safran Helicopter Engines such rights on the Content submitted to Safran Helicopter Engines that are required or deemed necessary by Safran Helicopter Engines for the provision of the Services and the use of the Site in accordance with its designated use. Hence, the Content is hereby licensed to Safran Helicopter Engines the rights to display and distribute such Content including for purpose of the promotion and marketing of the Services. Are also granted, the right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Content in whole or part worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed.

This license granted for the term of the copyright and is royalty-free, non-exclusive, transferable and worldwide.

The User warrants that it has all the rights, including intellectual property rights, related to the Content, in order to use the Services and to comply with the GTS.

5. Use and collection of data

Safran Helicopter Engines does not pre-screen Content, but Safran Helicopter Engines shall have the right, at its sole discretion, at any time, to refuse, edit, move or remove any Content that is publicly available via a Service.

The User is liable for any consequences arising out of the Content, including any reliance on the accuracy, completeness, or usefulness of such Content.

6. Proprietary rights of Safran Helicopter Engines

Each Service contains proprietary information of Safran Helicopter Engines or of its licensor or Users that is protected by applicable intellectual property regulation and other laws.

Safran Helicopter engines concedes to the User a right to use the Services accessible via the Site. The right to use does not create a transfer of property of said Services. Therefore, without the express consent of Safran Helicopter Engines, the User agrees not to develop or sell the Services or services that could compete against Services proposed on the Site.

Thus, and except with the express agreement of Safran Helicopter Engines, the User agrees not to carry out reverse engineering or mass automation actions, attempt to extract the source code, modify, adapt, correct, repair, copy, reproduce, create a link to one or more Services, to disseminate, lend, rent, market, distribute, exploit for commercial or free purposes or create, in whole or in part, derivative works based on any of the elements making up the Services, including their use or access.

7. General practices regarding use and storage

Safran Helicopter Engines may establish general practices and limits concerning use of the Services, including without limitation the maximum number of days that e-mail messages, message board postings or other uploaded Content will be retained by the Service, the maximum number of email messages that may be sent from or received by an account on the Service, the maximum size of any e-mail message that may be sent from or received by an account on the Service, the maximum disk space that will be allotted on Safran Helicopter Engines' servers on the User's behalf, and the maximum number of times (and the maximum duration for which) the User may access the Site in a given period of time.

Safran Helicopter Engines has no responsibility for any possible consequences due to the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service.

Safran Helicopter Engines reserves the right to log off accounts that are inactive for an extended period of time.

8. Modifications/Suspension/Termination of the access to the Site and the Services

Safran Helicopter Engines reserves the right at any time to modify or suspend one or more Service (or any part thereof) as well as access to the Site without having to justify it to the User.

The Site provides links to third parties websites.

As Safran Helicopter Engines has no control over such third party websites, Safran Helicopter Engines is not responsible for the availability of such sites, and does not endorse nor is liable for any Content, advertising, products, or other materials on or available from such sites or for any transactions contemplated through such websites or Safran Helicopter Engines is not responsible for any damage or loss caused or alleged to be caused by or in connection therewith use of or reliance on any such Content, goods or Services available on or through any such site.

Safran Helicopter Engines is not responsible for the security practices or the content of other websites.
Safran Helicopter Engines recommends to refer to the policies of the respective sites.

Furthermore, in the event that a third-party site seeks to hold Safran Helicopter Engines liable for the conduct or actions of the User, the User shall assume all consequences, in particular financial, that Safran Helicopter Engines may suffer in the context of such an action, and shall hold Safran Helicopter Engines harmless in this regard.

10. Collection of personal data by Safran Helicopter Engines

Safran Helicopter Engines processes any personal data (Data) in compliance with European Regulation 2016/679 (GDPR) on the protection of personal Data (“Applicable Regulation”).
The legal basis of the processing are the legitimate interests of Safran Helicopter Engines, the consent of the data subjects, the performance of a contract to which the data subject is a party and compliance with a legal obligation.

Regarding the categories of people for which Data can be processed, employees shall mean those authorized or commissioned by the concerned companies, i.e. the temporary employees, the employees working for subcontractors or interns.

The Data shall be kept limitless according to the European regulation EASA Part 147 (147.A.125 Records).

The Data collected on the site is destined solely for Safran Helicopter Engines and shall only be accessible to personnel duly authorized by Safran Helicopter Engines (including IT subcontractor’s employees working to maintain the Site). The Data collected shall only be used to the strict purpose of the process and in the event of direct marketing.

Data can be transferred out of the European Union for administration of data purposes and direct mail towards customers. Within the frame of Data administration on the Site, these transfers only occur towards our sister company in the United States and benefit from the same protection as the binding rules common to all Safran entities worldwide (BCR Rules). In the context of direct mail, the transfers (solely on names, surnames, e-mail addresses) shall only be made available to service providers based in the United States and Brazil. IP addresses
The User authorizes Safran Helicopter Engines to use its IP address to help diagnose problems with its server, to administer the Site, or to gather general demographic information.

Cookies
Safran Helicopter Engines may use cookies to improve its knowledge of each User and to deliver any personalized content to Users. Safran Helicopter Engines may therefore deliver information specific to the interests of each User. Cookies also allow Safran Helicopter Engines to better analyze the site's traffic patterns. However, Safran Helicopter Engines does not follow the browsing path of Users once they have exited the Site. The User's consent and Safran Helicopter Engines' revisions

Registration for third party Services at Safran Helicopter Engines online.
The User may wish to register for third party Services via the Site. These Services are available through the Site but are provided by a third party which is not typically affiliated with Safran Helicopter Engines. When the User signs up for one of these Services, he acknowledges and agrees that it may be necessary for Safran Helicopter Engines to communicate some of its Personal Data to such third party. In addition, if the User's e-mail address is required to obtain a Service chosen by the User, Safran Helicopter Engines will also give the User's e-mail address to such third party. Safran Helicopter Engines may thus disclose the User's e-mail address to such third party only in the event that the User has specifically asked for this Service and if the Service cannot be provided without the User's e-mail address. 11. Safran Helicopter Engines’ Liability

The Service is provided on an "as is" and "as available" basis.

Safran Helicopter Engines makes no warranty that:

Safran Helicopter Engines is liable towards the User only of a proven defective performance of its obligations under the GTS.

Under no circumstances, Safran Helicopter Engines shall be responsible for any indirect, special, incidental, consequential or exemplary damages such as but not limited to loss of profits, loss of business, loss of revenue, even if the parties have been advised of the possibility of such damages, and for third party claims against the User.

Safran Helicopter Engines shall in no event be held responsible for loss or damage to the Content entrusted to it by the User, such as files, Data, programs, documentation, the User being responsible to take all necessary precautions and in particular backup measures against the risks of loss or accident.

12. Liability of the User

The User shall assume all consequences direct or indirect, material or immaterial, and in particular financial in the event of prejudice suffered by Safran Helicopter Engines attributable to the User’s behavior and in particular in the event of negligence, carelessness or malice leading to non-compliance with the obligations incumbent to the User under the GTS.

13. Notice

Notices made by Safran Helicopter Engines may be done via either e-mail or regular mail or via the Site.

The User shall accept the new version of the GTS after each modification and prior to connection to the Site.

14. General information

The GTS constitute the entire agreement between the User and Safran Helicopter Engines and govern the use of the Service by the User, except any expressed written agreement executed between Safran Helicopter Engines and the User. The User may also be subject to additional terms and conditions that may apply when the User uses affiliate Services, third-party content or third-party software.

15. Confidentiality of the information received by the User

For a ten (10) year period following the closure of the User’s account, all information provided by the User on the Site, transmitted by mail or email or in any other way whatsoever by Safran Helicopter Engines shall be considered as confidential.

The User shall be able to prove that information provided is no confidential when:

Following closure of the User account, each party will request the destruction or return of the shared confidential information.

16. Export Control

The Party which is exporting in the case of exports, and the Party which is importing in the case of imports, shall be responsible for obtaining all necessary licenses, or other governmental authorizations required in connection with any export, re-export, or imports, as the case may be.

The Parties will cooperate with each other in securing any such licences or governmental authorisations as may be required.

Some data exchanged through the Services may be subject to export control rules. The User hereby agrees to comply with any applicable export regulations and to provide Safran Helicopter Engines with all information necessary to evaluate any export restrictions that may affect the Services provided via the Site including its use. If applicable, the User shall specify whether the data he/she has transmitted are subject to national export control regulations. The User undertakes to respect the restrictions on the use of the technical data provided by Safran Helicopter Engines. The User represents and warrants that (i) he/she will not infringe any applicable laws or regulations of the United States, European Union or any other country (ii) he/she is not located in a country that is subject to a United States Government or European Union, or United Nations embargo, or that has been designated by the United States Government, European Union, or United Nations as a “terrorist supporting” country; and (iii) he/she is not listed on any United States Government or European Union, or United Nations or any other country list of prohibited or restricted parties. The Parties shall notify each other of any refusal, withdrawal or non-renewal of an export license or authorization. Safran Helicopter Engines shall not be held responsible for the refusal, withdrawal or non-renewal of any required export license or authorization.

17. Applicable Law - Legal competence

These GTS are governed by French law. Any dispute that the parties fail to resolve amicably within a time period of one (1) month as of its notification, shall be brought exclusively before the Courts of Paris, France.
